EMILY's List Australia is an Incorporated Association, governed by a National Committee who sets the strategic agenda and priorities of the organization. Local EMILY's List Action Groups (ELAG's) in each State and Territory elect/nominate one representative to the board. National Committee members sit for four year terms.
National Co-Convenors, who act as Chair and the Public Face of the organization, are elected by National Committee. EMILY's List has two Co-Convenors – one a sitting MP, providing a crucial link to other Members of Parliament and the other a lay woman. The other National Officebearing Positions are Treasurer and Public Officer.
National Committee meet quarterly, with the executive meeting monthly to discuss finances with Staff.

Following Constitutional change in 2010, four new General Member positions were created to assist in the peak governance committee of the organisation. General Members are selected by National Committee for their professional expertise and special skills for a period of two years.
